AGREEMENT
This agreement is made between The Logistics Firm LLC, hereon known as “TLF”, with offices at 4450 Belden Village Street NW Suite 208, and the legally licensed motor carrier named above, hereon known as “Carrier”, with an MC number or USDOT number as completed above, with business mailing address as completed above.

PURPOSE
This agreement is to establish TLF as an agent, acting on behalf of Carrier, to secure freight loads to be transported by Carrier for a profit.

SERVICES
TLF will provide services to negotiate and secure loads from shippers and brokers, complete carrier agreements, rate confirmations, store and provide bills of lading, and other services that fall in line with these services.

COMPENSATION AND BILLING
Carrier agrees to compensate TLF for assigned loads in the amount of 9.9% of the gross fee earned by Carrier for each load. This shall not include any charges for layover, detention, truck order not used and/or any other additional accessorials other than additionally negotiated fees for added mileage, drops or other additions. TLF will invoice Carrier each Monday for any loads assigned to Carrier for the previous 7 day period. All invoices will be due by the Friday of the invoiced week, and will be payable by check or credit card.

HOLD HARMLESS
TLF shall be held harmless from any and all claims against Carrier by any shipper, broker, or any other party. Carrier assumes all responsibility for all freight and any occurrences which happen in transit.

LICENSING AND INSURANCE
Carrier agrees to maintain all necessary licensing and insurances to operate as a legal carrier. Carrier understands and agrees that The Logistics Firm LLC carries no authority or insurance.

RIGHT OF REFUSAL
Carrier reserves the right to refuse any load negotiated by TLF for Carrier without penalty applied by TLF. Any fees incurred for cancellation by brokers or shippers are the sole responsibility of Carrier.

THIRD PARTY FEES
Carrier is responsible for any third party fees, including but not limited to load boards, legal operating expenses, insurance premiums and deductibles, fuel and any other expenses.

ACKNOLWEDGEMENT RIGHTS
Carrier hereby grants TLF the right to sign on their behalf for rate confirmations, carrier packets, and any other forms deemed necessary to complete each load.

TERM OF AGREEMENT
Either party may end this agreement at any time. All fees due TLF must be paid at that time if this agreement is cancelled by Carrier. If TLF cancels this agreement, invoices will be due in accordance with the payment terms of any due invoices.

AMENDMENTS TO AGREEMENT
This agreement may be amended at any time, but must be in writing and agreed to by both parties.

MINIMUMS AND RETAINER FEES
There will be no minimum fees per load charged to Carrier by TLF, and there is to be no retainer fee to retain the services of TLF paid by Carrier.
